Terms and Conditions

Contract

The client’s approval for work to commence shall be deemed a contractual agreement between the client and Prince Edward County Web Design.

Important: Approval for work to commence and payment of the required advance fee confirms that the client accepts the Terms and Conditions outlined in this document.

Client Responsibilities Regarding Copyright

Where the client provides images, text, graphics, animations, video or any other content for use on their website, the client is responsible for ensuring that the material does not infringe copyright or other intellectual property rights.

Certain images supplied by Prince Edward County Web Design may have been purchased or obtained under licence from stock image providers. These images are generally licensed for use on the website for which they were supplied and may not be used for other promotional or commercial purposes. If you wish to use an image from your website elsewhere, please contact us for clarification.

Marketing & Promotion

Unless otherwise agreed, website design, development and other work produced by Prince Edward County Web Design may be displayed as examples of our work and used to promote our services, including on our website, portfolio, social media, advertisements and other marketing materials.

Domain Registration Charges

All third-party costs associated with registering, renewing or transferring a domain name are the responsibility of the client.

Prince Edward County Web Design recommends that clients register and retain ownership of their own domain names wherever possible. We can assist with domain registration, DNS configuration and transfers when required.

Search Engine Promotion & SEO

Prince Edward County Web Design is not responsible for ongoing search engine optimization or website promotion unless SEO services are specifically included within the client’s Care Plan, SEO plan or other agreed service.

While we can optimize websites and undertake work intended to improve search visibility, search engine rankings are ultimately controlled by third-party search engines. Prince Edward County Web Design cannot guarantee specific rankings, positions, traffic levels or results.

Cancellation

Should the client cancel a website project after work has commenced, the client remains responsible for payment for all work completed up to the date of cancellation.

Annual hosting plans are payable in advance and are non-refundable. No full or partial refund will be provided where a client cancels hosting or transfers their website to another hosting provider partway through the paid hosting period.

Care Plans are subject to the agreed contract period and cancellation terms provided when the Care Plan is purchased.

Failure to Provide Required Website Content

To work efficiently, projects must be completed within a reasonable timeframe. Unless otherwise agreed, Prince Edward County Web Design normally reserves approximately 4–6 weeks for a website project.

We may decline or postpone other work to accommodate an agreed project schedule. Clients are therefore expected to provide the required content, information and approvals within the agreed timeframe.

Where a project is delayed because the client has failed to provide required information or content, Prince Edward County Web Design reserves the right to apply a surcharge of up to 25%.

If, following payment of the initial deposit, the client provides no meaningful content, information or project guidance within 8 weeks, Prince Edward County Web Design reserves the right to cancel the project. The deposit will remain non-refundable.

Simply put: please do not authorize us to begin your website until you are ready to provide the information and content required to complete it.

Providing Website Content

Text content should preferably be supplied electronically in Microsoft Word, Google Docs or a similar editable format.

Where possible, content should be clearly separated by website page, using page titles that correspond with the agreed website structure. Please contact us if you are unsure how to prepare or supply your content.

Quotations

The quoted price covers only the work and services specifically detailed in the quotation.

If the client requests additional features, pages, functionality or significant design changes after work has commenced, additional charges may apply and will be discussed where appropriate.

All quotations are valid for 30 days unless otherwise stated.

Any quoted feature or service that the client chooses not to use before approving the final website cannot automatically be added at a later date without additional charges.

Advance Payment

An advance payment of 25% of the total project cost is required before work can commence.

Once work has commenced, the advance payment is non-refundable.

Payment Terms

Payment is currently accepted by credit card, cash and PayPal unless otherwise agreed.

All quoted prices are plus applicable HST unless expressly stated otherwise.

Website Project Payments

Following the initial 25% deposit, a further payment of 25% will be due after 4 weeks, with the remaining balance due upon completion or after 3 months from commencement, whichever occurs first.

Where completion has been delayed because content, information or approval has not been supplied by the client, the remaining balance will still become payable after 3 months.

Prince Edward County Web Design will complete outstanding work once the required content is received; however, we cannot guarantee an immediate completion date as the work will need to be scheduled around existing commitments.

Final balances are due within 7 days of the final invoice date.

The completed website may only be fully published once payment has been received in full. Where payment remains outstanding, Prince Edward County Web Design reserves the right to suspend or remove previously published material. A minimum $150 restoration fee may apply where a website has been suspended for non-payment.

Late Payment

Accounts that remain unpaid for more than 10 days following our final payment reminder may incur a late payment charge of 10% of the outstanding balance.

Hosting

Hosting fees are payable according to the hosting package selected by the client.

Annual hosting packages are payable in advance and are non-refundable. No partial refund will be issued where a client cancels hosting or moves their website to another provider during the paid hosting period.

Hosting does not automatically include unlimited website updates, content changes, SEO or ongoing maintenance unless these services are specifically included in an agreed Care Plan or other service agreement.

Care Plans

Prince Edward County Web Design Care Plans provide ongoing website services according to the level and contract period agreed with the client.

Depending on the Care Plan selected, services may include WordPress core, theme and plugin updates, backups, security checks, content updates, troubleshooting, technical support, SEO work and other agreed website services.

Care Plan hours and services must be used in accordance with the terms of the selected plan. Work outside the agreed Care Plan allowance may be charged separately at our standard hourly rate.

Care Plan clients receive priority support, including priority consideration for important requests received outside our standard working hours.

Premium / Pro Plugin, Theme & Software Licences

Prince Edward County Web Design may provide access to certain premium or Pro WordPress plugins, themes, security products or other licensed software at no additional licence cost to the client. These may be licences owned or managed by Prince Edward County Web Design and are provided solely while the client continues to use the qualifying hosting, Care Plan or other applicable service.

Unless the client has specifically purchased and paid for their own individual licence, ownership of these licences remains with Prince Edward County Web Design.

If the client cancels their hosting or applicable service, transfers their website to another provider, or otherwise leaves Prince Edward County Web Design, any premium or Pro licences supplied and paid for by Prince Edward County Web Design may be removed, disconnected, deactivated or cancelled.

The website itself will remain the client’s, but functionality that relies on an active premium licence may lose access to premium updates, support, templates, features or services.

If the client wishes to continue using a premium product after leaving Prince Edward County Web Design, they will be responsible for purchasing and maintaining their own licence directly from the relevant software provider.

Any premium plugin, theme or software licence purchased and paid for directly by the client remains the client’s responsibility and will not be cancelled by Prince Edward County Web Design.

Future Support & Maintenance

Once completed and approved, the website is considered a fully functioning completed project.

Prince Edward County Web Design is not responsible for providing unlimited future website support, maintenance, content changes or technical assistance unless these services are included within an active Care Plan or separately requested and paid for.

Clients without a Care Plan may request maintenance, updates and support when required. This work will normally be charged at our standard hourly rate.

Clients using an annual hosting-only package remain responsible for arranging ongoing WordPress, theme and plugin maintenance unless maintenance is specifically included in their agreement.

Hourly Rate & Working Hours

Our standard hourly rate is $85.00 for website updates and support carried out during our regular working hours of Monday to Friday, 9:00am–5:30pm.

Care Plan clients receive priority support outside regular working hours for urgent or important updates. Non-urgent requests received outside these hours will be scheduled for the beginning of the next working week.

Remote Training

Where remote website training is included, it should be used before the website is launched or within one week of the website going live, unless otherwise agreed.

Remote training covers basic website administration tasks such as editing existing pages or posts and changing images or content.

Training does not include comprehensive instruction in WordPress development, page builders, themes, premium plugins or other components used to build the website unless specifically agreed.

Future Website Problems & Security

Malware, malicious software, hacking attempts, software vulnerabilities and other online threats are an unavoidable part of operating a website.

Prince Edward County Web Design takes reasonable steps to protect WordPress websites during development and may install appropriate security measures. However, no website or security system can provide a 100% guarantee against hacking, malware, software vulnerabilities or other technical problems.

Prince Edward County Web Design cannot be held responsible for problems that develop after completion where ongoing maintenance, security, backups or support are not being provided under an active Care Plan or other applicable service.

Clients who require ongoing maintenance, backups, security checks and technical assistance should consider a Prince Edward County Web Design Care Plan.

Third-Party Services

Websites may rely on third-party services including WordPress plugins, themes, payment processors, email providers, APIs, booking systems, hosting services and other external platforms.

Prince Edward County Web Design cannot guarantee the continued availability, compatibility, pricing or functionality of third-party products and services. Changes made by third-party providers may occasionally require additional website work, which may be chargeable unless covered by an applicable Care Plan.

Notes

Should Prince Edward County Web Design choose to waive or vary any of these terms for an individual client or circumstance, this does not affect the validity of the remaining Terms and Conditions and does not require Prince Edward County Web Design to provide the same waiver on another occasion.

By approving Prince Edward County Web Design to undertake work, the client confirms their acceptance of these Terms and Conditions.

Prince Edward County Web Design reserves the right to amend or update these Terms and Conditions from time to time. If clarification of any of these terms is required, please contact us before approving work.
